Terms of Service

1. Overview

These Terms of Service ("Terms") govern access to and use of Vsage TradeOS("we", "us", or "our"), including our dashboard, our WhatsApp Business integration, and any related services (collectively, the "Service"). By creating an account, accepting an invite to a workspace, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you are agreeing on that business's behalf and confirming you have the authority to do so.

2. Accounts & Eligibility

  • You must be at least 18 years old and able to enter into a binding contract to create an account.
  • Each workspace has one or more Admin accounts and may invite additional team members with roles such as Sales Rep, Delivery Agent, or Procurement.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must notify us promptly of any unauthorized use of your account.

3. The Service

The Service provides tools for managing orders, inventory, customers, invoices, payments, and deliveries, and for automating customer communication over WhatsApp. We may add, change, or remove features from time to time. We will try to give reasonable notice of changes that materially reduce functionality you already rely on, but the Service is provided on an evolving basis and is not guaranteed to remain unchanged.

4. WhatsApp Messaging & AI Automation

A core part of the Service connects to your WhatsApp Business number via the Meta WhatsApp Business Platform (Cloud API) and uses an AI model to interpret incoming customer messages and take automated actions (such as creating draft orders, checking stock, or reporting balances) on your behalf.

  • You are responsible for reviewing AI-generated actions and responses for accuracy, particularly before relying on them for order fulfillment or customer communication.
  • The AI may misinterpret messages, especially ambiguous or low-confidence ones; we surface a confidence score and ask clarifying questions where appropriate, but cannot guarantee perfect accuracy.
  • Your use of WhatsApp through the Service is also subject to Meta's WhatsApp Business Platform terms and policies, which you must independently comply with (including messaging window rules, template approval requirements, and opt-in/opt-out handling for your customers).
  • You are responsible for obtaining any necessary consent from your customers to message them via WhatsApp, in accordance with applicable law.

5. Merchant Responsibilities

  • You are solely responsible for the accuracy of product, pricing, inventory, and customer data you enter or import into the Service.
  • You are responsible for your relationship with your own customers, including order fulfillment, delivery, refunds, and customer service — the Service is a tool to help you manage these, not a party to your transactions with your customers.
  • You are responsible for complying with applicable tax, consumer protection, and data protection laws in the jurisdictions where you operate and sell.
  • You are responsible for managing access for your own team members, including promptly deactivating accounts for staff who leave.

6. Fees & Billing

Access to certain features of the Service may require a paid subscription or transaction fees, as communicated to you at signup or upgrade. Payment processing is handled by our payment partner, Paystack. Fees are billed in advance and are non-refundable except where required by law or expressly stated otherwise. We may change our fees with reasonable advance notice; continued use of the Service after a fee change takes effect constitutes acceptance of the new fees.

7. Your Data & Content

You retain ownership of the business data, customer data, and content you input into the Service ("Your Data"). You grant us a limited license to host, process, and transmit Your Data solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy.

You are responsible for having the right to provide any customer or third-party data you input into the Service, including phone numbers used for WhatsApp messaging.

8. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited bulk messages, spam, or content that violates Meta's WhatsApp policies.
  • Engage in fraudulent, deceptive, or illegal commercial activity.
  • Attempt to circumvent rate limits, security controls, or access restrictions.
  • Reverse engineer, scrape, or resell access to the Service without our written permission.
  • Upload malware or attempt to disrupt the Service's infrastructure.

We may suspend or terminate access for violations of this section, with or without notice depending on severity.

9. Third-Party Services

The Service relies on third-party infrastructure, including Meta (WhatsApp), Paystack (payments), Supabase (database/auth), and others described in our Privacy Policy. We are not responsible for outages, policy changes, or service interruptions caused by these third parties, though we will make reasonable efforts to keep the Service working as they evolve.

10. Service Availability & Support

We aim to keep the Service available and reliable but do not guarantee uninterrupted access. We may perform maintenance, deploy updates, or experience downtime due to factors outside our control, including outages of third-party providers listed above. Support is available by contacting us using the details in Section 15.

11. Suspension & Termination

You may stop using the Service and request account deletion at any time (see our Data Deletion Instructions). We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, or if we reasonably believe your use of the Service poses a legal, security, or reputational risk. Where practical, we will provide notice and an opportunity to remedy the issue before termination.

12. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose. We do not warrant that AI-generated interpretations of WhatsApp messages will always be accurate, or that the Service will be error-free or uninterrupted.

To the maximum extent permitted by law, Vsage TradeOS will not be liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the fees you paid us in the three months preceding the claim.

13. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above when we do, and will provide notice of material changes by email or in-dashboard notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, unless otherwise required by the law of your jurisdiction.
